Terms of Service

These Terms of Service (the Terms) govern your access to and use of the CAVIAR POS store at caviarpos.ca and your purchase of CAVIAR POS hardware and software. CAVIAR POS is operated by Armour Payments (we, us, or our). By creating an account, placing an order, or otherwise using the store, you agree to these Terms. If you do not agree, please do not use the store.
1. Introduction
These Terms form a binding agreement between you and Armour Payments. They incorporate our Privacy Policy, Shipping Policy, and Refund and Returns Policy, each of which applies to your use of the store. We may update these Terms from time to time, and the date at the top of this page reflects the most recent version. Your continued use of the store after changes take effect constitutes acceptance of the updated Terms.
2. Eligibility and accounts
The store is intended for businesses and for individuals who are at least the age of majority in their jurisdiction. To purchase certain products you may need to create an account. You agree to provide accurate and complete information, to keep your credentials confidential, and to be responsible for all activity that occurs under your account. Notify us promptly of any unauthorized use. We may suspend or close accounts that violate these Terms or that we reasonably believe are being used for fraudulent or unlawful purposes.
3. Products and support
We sell point of sale hardware, payment terminals, and related software and services. We work to keep product descriptions, images, and specifications accurate, but we do not warrant that all content is error free, and product details may change. Hardware may be subject to the applicable manufacturer warranty, and software and payment services may be subject to additional terms presented at the time of activation. Support is provided as described on the store or in your applicable service agreement.
4. Orders, pricing, and taxes
All orders are subject to acceptance and to product availability. We may, at our discretion, decline or cancel an order, including where a product is mispriced, out of stock, or where we suspect fraud. Prices are shown in Canadian dollars unless otherwise stated and are exclusive of applicable taxes, which are calculated and shown at checkout. We reserve the right to correct any errors in pricing or product information and to update prices at any time before an order is accepted.
5. Fees and payment
You agree to pay all amounts due for your orders, including product prices, applicable shipping charges, and taxes. Payment is processed through our third party payment gateway, which is certified under the Payment Card Industry Data Security Standard (PCI DSS). By submitting payment information, you represent that you are authorized to use the payment method and you authorize us, through our processor, to charge the total amount of your order. Recurring software or subscription fees, where applicable, are billed on the cycle disclosed at purchase until cancelled in accordance with our Refund and Returns Policy. We do not store full card numbers on our systems; card data is handled by the payment processor.
6. Shipping, returns, and refunds
Delivery of physical products is governed by our Shipping Policy, and returns and refunds are governed by our Refund and Returns Policy. Please review both before placing an order. Risk of loss for physical products passes to you upon delivery to the carrier, as described in the Shipping Policy.
7. Acceptable use
You agree not to:
- Use the store for any unlawful, fraudulent, or harmful purpose.
- Attempt to gain unauthorized access to the store, other accounts, or our systems or networks.
- Interfere with or disrupt the integrity or performance of the store, including by introducing malicious code.
- Copy, scrape, resell, or exploit any part of the store except as expressly permitted.
- Misuse payment terminals or circumvent payment, security, or compliance controls.
8. Intellectual property
The store and its content, including text, graphics, logos, software, and the CAVIAR POS and Armour Payments names and marks, are owned by us or our licensors and are protected by intellectual property laws. Except for the limited right to use the store and the products you purchase for their intended purpose, no rights are granted to you. Software is licensed, not sold, and is subject to its applicable licence terms.
9. Disclaimers
Except for warranties that cannot be excluded under applicable law, and any express manufacturer or product warranty that applies, the store and its content are provided on an as is and as available basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non infringement. We do not warrant that the store will be uninterrupted, secure, or error free.
10. Limitation of liability
To the maximum extent permitted by applicable law, Armour Payments and its affiliates, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the store or the products. To the maximum extent permitted by law, our total liability for any claim relating to the store or a product will not exceed the amount you paid for the product giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law, including your rights under consumer protection legislation.
11. Indemnification
You agree to indemnify and hold harmless Armour Payments and its affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your breach of these Terms, your misuse of the store or products, or your violation of any law or the rights of a third party.
12. Confidentiality
If, in the course of using the store or our services, either party receives non public information of the other that is identified as confidential or that should reasonably be understood to be confidential, the receiving party will use it only as necessary to exercise its rights and meet its obligations and will protect it using reasonable care. This does not apply to information that is or becomes public through no fault of the receiving party, was lawfully known before disclosure, or is required to be disclosed by law.
13. Term and termination
These Terms apply while you use the store. We may suspend or terminate your access to the store or your account at any time if you breach these Terms or for any other lawful reason. Provisions that by their nature should survive termination, including those relating to payment, intellectual property, disclaimers, limitation of liability, indemnification, and governing law, will survive.
14. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles. Subject to applicable law, you agree that the courts located in Ontario, Canada will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the store, and you consent to the jurisdiction of those courts.
15. Miscellaneous
These Terms, together with the policies they incorporate, are the entire agreement between you and us regarding the store. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent, and we may assign them in connection with a merger, acquisition, or sale of assets. Headings are for convenience only.
